Megan Gail Black is the sole director of Megan Black Attorneys Incorporated, a law firm she established in early 2019.
Since being admitted as an attorney in 1992, Megan has focused on corporate law and the structuring, negotiating and drafting of commercial transactions. Much of Megan’s work comprises the advising on, planning for and the implementation of multi-faceted projects and transactions involving companies operating in highly regulated and often listed environments.
Megan has successfully implemented a wide range of corporate actions and transactions, including the listing of various companies on the JSE, numerous mergers and acquisitions regulated, amongst others, by the JSE, the Prudential Authority (previously the Registrar of Banks), the Financial Services Conduct Authority (previously the FSB), the Competition Commission and the Financial Surveillance Department (exchange control) of the South African Reserve Bank.
Megan is equally comfortable in advising on corporate actions, mergers and acquisitions and other transactions for unlisted entities and working with owner-managed businesses.
In addition to her experience in the listed equity capital markets, Megan has also gained considerable experience in the listed and unlisted debt capital market. She has drafted and successfully registered domestic medium-term note programmes with the JSE, acting for banking and non-banking South African corporates. She has also been involved in the establishment of asset-backed commercial paper programmes and securitisation programmes. Megan has acted as the South African advisor in respect of the registration of Euro Medium-Term Note Programmes by the United Kingdom Listing Authorities and the issuance of notes thereunder, listed on the London Stock Exchange and the SIX Swiss Exchange. In addition to funding programmes, Megan also regularly advises on bilateral and multi-lender funding transactions, having acted for both borrowers and lenders.
